• Loss of profits, revenue, or anticipated savings
• Loss of business or business opportunity
• Loss of data or information
• Loss of goodwill or reputation
• Cost of procurement of substitute goods or services
• Personal injury or property damage arising out of your use of the Services
• Unauthorized access to or use of our servers or any personal information stored therein
• Any bugs, viruses, or other harmful code transmitted through the Site

IN ALL CASES, DIONS'S AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SITE OR SERVICES SHALL BE LIMITED TO THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DIONS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE THE CLAIM AROSE, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION SHALL APPLY EVEN IF DIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE).

Some states, including certain consumer protection provisions, do not allow the limitation or exclusion of liability for incidental or consequential damages. In such states, our liability shall be limited to the maximum extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Dions and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

13. Governing Law and Jurisdiction

You agree that any legal action or proceeding relating to your use of the Site or Services or these Terms shall be subject to the exclusive jurisdiction of the federal and state courts located in the United States. 14. Dispute Resolution

14.1 Informal Resolution

If a dispute is not resolved within thirty (30) days of submission, you or Dions may proceed to formal dispute resolution as set forth below.

14.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for disputes that qualify for small claims court, you and Dions agree that any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Services (collectively, "Disputes") will be resolved solely by binding, individual arbitration and not in a class, representative, or consolidated action or proceeding.

The arbitration shall be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitrator shall have exclusive authority to resolve any Disputes, including Disputes relating to the scope or enforceability of this arbitration agreement.

14.3 Class Action Waiver

YOU AND DIONS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Dions agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

14.4 Exceptions

Notwithstanding the foregoing, you and Dions each retain the right to:

• Seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights
• Bring an individual action in small claims court for disputes within the jurisdictional limits of such court

15. Term and Termination

15.1 Term
